An application can be made to the court to restrain the proceedings when a scheme or an arrangement is proposed for the courts consideration under section 176(1) or section 176(3). According to the section 176 (10) of the Companies Act 1965 application to restrain the proceedings must be made before an order has been made or any resolution passed for the winding up of the company. According to the case of In Re Kuala Lumpur Industries Bh d[19]the court only consider whether it had jurisdiction to entertain an application pursuant to section 176 (10) although no application had been made under section 176 (1) to summon a meeting of creditors. The court held that the policy of section 176 was not that the section 176 (10) application had to be tried to the section 176(1) application. It was the view courts view that both applications may be brought independently. The time period of the court that can grant restraining order under subsection (10) is not more than ninety days or longer period if court thinks there is reasonable ground to allow. Section 176(10A) stated about the condition that applied to the applicant that can get longer period.It is clearly stated in the case of Pelangi Airways SdnBhd v MayBank Trustees Bhd[20] where the plaintiff company proposed a scheme to restructure the rights of its creditors. The company had obtained a restraining order by which it acquired immunity from further proceedings fo r one year. Maybank Trustees Bhd applied to have that restraining order set aside on the basis that the company had not complied with section 176 (10A)(c). The court upheld Maybanks application to set aside the restraining order. There are four condition where first was proposal for a scheme of compromise or arrangement between company and its creditors or any class of creditors representing at least one-half in value of all creditors. Second condition is restraining order must get the approval of the creditors or members. Third condition is statement in prescribed form as to the affairs of the company must be made not more than three days before the application is lodged. Last condition is the approved person that nominated by the creditors in the application will act as a director if that person is not already a director that appointed before. The director that appointed by court under subsection (10A) have right of access at all reasonable time to the accountinganother records of the company it is clearly state in the subsection (10B). In the case of MetroplexBhdOrs v Morgan Stanley Emerging Markets IncOrs; Rhb Sakura Merchant Bankers BhdOrs (Interveners)[21]fact of the case is the applicant after 25 months from the date of the restraining order, were still at initial stages of attempting to achieve a feasible scheme of compromise or arrangement between the company and its creditors; much less than 50 % (being only 21%) in value of the applicants scheme creditors has agreed to the proposed scheme; the draft scheme presented did not contain sufficient particulars for the scheme creditors to consider its viability, for instance, no valuable information on Putra Place which was a key asset of the applicant had been provided to the scheme creditors, thus evincing unreasonable delay on the part of the applicant; the applicants had sought an extension of three months to bring the proposed scheme of arrangement to fruition although it is improbable that appr ovals from the relevant authorities could be forthcoming in three months and the applicants had not factored into the schedule for convening a meeting, the requirement for seeking such approvals from the relevant authorities. Thus the court could only conclude that the applicants did not appear to have a genuine proposed scheme. Court held that section 176 (10A) of the act not only provides that a restraining order may only be granted if there was a proposal for scheme of compromise which involved creditors representing at least one- half in value of all the creditors, but it also stipulates that a restraining order may only be extended for a longer period if and only if there is a good reason to do so. The word good reason had been construed by the court to mean: (i) a bona fide scheme of arrangement had been presented with sufficient details provided to enable the creditors to make informed decisions as to its feasibility and merits, (ii) the scheme of arrangement presented mus t not be such it was bound to fail and (iii) the interest of creditors which were the beneficiaries of the proposed arrangement was safeguarded. The existence of a good reason ought to be predicated upon the applicant bona fide conduct towards achieving a feasible detailed scheme of arrangement for presentation to the general body of creditors[22]. In the case of Re Kai PengBerhad[23] that follow above case, however observation of this case on Section 176 (10A) (a) does not require that 50% of its creditors approve of the proposed scheme of arrangement and that creditors approval was only relevant at the stage of the creditors meeting ordered under section 176(3) of Companies Act not at the stage of asking for an extension of restraining order under section 176(10A). All the applicant needed to show was that 50% of all its creditors. It is doubted whether it is a correct statement of the law. The court held further citing Re Sanda Industries BhdOrs[24] that under Section 176(1 0A)(d) of the act, it is for the court to approve the person nominated by the majority of the creditors to act as a director. Where a person is nominated, no restraining order may be granted if the court does not approve or appoint him to act as a director. So, if for whatever reason, no person is nominated by the creditors, there can be no one to approve or appoint, no one then is approved or appointed, and no restraining order may be granted. According to the section 176 (10C) of companies act 1965 any disposition of the property other than those made in ordinary course of business made after the restraining order shall be void unless the court otherwise order. The Debate on Wage The debate on wage is something that has become known as what I could call a very ââ¬Å"fluentâ⬠topic among voices of people that live in the United States today. People that walk and live within the borders of this beautiful country are crying out for help from any state or government official who is willing to lend an ear and listen to what is really happening behind these closed doors. How is a family supposed to survive off a minimum wage salary and be able to support the activities and daily functions that occur in life without having the proper funds to spare? Or how is a single mother such as myself, who is trying to put herself through college, work a full time job and struggling to make ends meet, supposed to get by when the salary that is being taken home, isnââ¬â¢t enough to even be able to put proper food on the table. We need to be able to come together during this struggle and come up with a compromise that could work for the system and the people. I side with raising the minimum wage within these sheltering borders and feel that the reasons behind my decisions make that unmistakable. What some fail to realize is, is that, someone who works full time at a minimum wage paying job is only making around $14,500 a year. As Raymond hands over the gun, we just stood theremotionless, as if everything had closed in around us. In this strange suspendedstate Meursaults indifference takes on alarming proportions: I realized thatyou could either shoot or not shoot. As in the first encounter, the Arabs flee,slipping suddenly behind the rock. Meursault and Raymond return once more to thebungalow, and Raymond seems satisfied. But Meursault halts at the bot tom of thestairs, unable, he says, to face the effort it would take to climb the woodenstaircase and face the women again. He goes back to the beach and startswalking back toward the site of the last encounter. Only when he comes to therocks and the stream does he realize that one of the Arabs is still there; infact, he claims he had forgotten about the earlier incidents. Then, for a longtime the two men stand facing each other without doing anything. Meursault isnot so passive that he fails to recognize his freedom to choose what to do. Heknows that he could have avoided the third confrontation; he even knew it atthen time: It occurred to me that all I had to do was turn around and thatwould be the end of it. But the whole beach, throbbing in the sun, was pressingon my back. I took a few steps towards the spring. And then he takes one final,fatal step: It was this burning, which I couldnt stand anymore, that made memove forward. I knew that it was stupid, that I wouldnt get the sun off me bystepping forward. But I took a step, one step, forward. And this time, withoutgetting up, the Arab drew his knife and held it up to me in the sun. Meursaultknows that his action makes no sense; as in the previous instance, he knew it atthe time, to the extent that he thought about it. But he did not think; he tookone more step, in a series that goes back not just to the bungalow, but to thebeginning of the book, for that is how Meursault has lived his life, acting byreflex rather than by reflection. The instant of the murder has arrived. Aware,at least in retrospect, of the significance of this action, Meursault relates itat length. When heactually pulls the trigger, he phrases the sentence so that he himselfdisappears: The trigger gave. After the shot, his perspective changesabruptly. He recognizes, first of all, that a momentous event has occurred:there, in that noise, sharp and deafening at the same time, is where it allstarted. Unlike his mothers death or his betrothal to Marie, this deed marks aturning point. Curiously, he regards it as a beginning rather than an end, eventhough he has lost his freedom and, as he puts it , shattered the harmony of theday, the exceptional silence of a beach where Id been happy. Furthermore, here-establishes himself in the active role: Then I fired four more times at themotionless body where the bullets lodged without leaving a trace. Meursaultoffers no more explanation for the additional shots, in terms of motive, thanfor any of his previous actions. The act itself still belongs to his habitualpattern of behavior impulsive, instinctive, unconscious. It is easy enough toimagine reasons for Meursaults behavior. It seems probable that his machoattitude and unacknowledged rivalry with Raymond enter into it. He has for thefirst time really thought about being married; he reacts by rejecting both thecompany of women and whatever might be thought feminine in himself: fear, pity,conciliation, even passivity, which had been his dominant trait. On the firstsally he recognizes that Raymond and Masson are old friends who form a pair fromwhich he is excluded. His isolation is ex acerbated when Raymond consigns him toan onlookers role in the first fight, and still more when he is obliged to waitwith Marie and Massons wife while the other two men go to the doctor. He thenoutdoes Raymond both in sullen stubbornness and in aggressiveness. In the secondtrip to the beach Meursault replaces Raymond as the dominant male. He must makethe third trip to vindicate his honor. One could argue that Meursault wassuffering from sun-stroke. One could also mention that he has drunk a good dealof wine. It is possible to imagine ways in which Meursault could be defended incourt, such as temporary insanity, or a plea of self-defence after all, theArab drew his knife first. Raymond escapes any blame, not only in Meursaultsretelling but also in court; yet he provoked the quarrel with the Arab and drewMeursault into it. The point of this crime, however, is that it has no purposeand no excuse. Meursaults originality as a character is precisely that he hasno interest in telling a st ory that explains his crime, either to make itforgivable or to make it comprehensible.
